Effective Date: September 20, 2025

These Terms of Service (“Terms”) govern the agreement between Brand Slam LLC (“Agency,” “we,” or “us”) and the client (“Client,” “you”) for marketing and digital services. By engaging with our services, you agree to these Terms.

1. Services Provided

We provide marketing services including, but not limited to:

- Website design, build, and maintenance

- Local SEO

- Paid advertising (search and social)

- Chatbot setup

- Reputation management

2. Client Responsibilities

You agree to:

- Provide accurate business information (name, address, phone, etc.).

- Provide timely access to accounts (e.g., Google Business Profile, website, ad platforms).

- Make payments on time per agreed billing schedule.

3. Payment Terms

- Services are billed on a monthly retainer basis.

- Payment is due in advance of each service month.

- Payments are non-refundable once services begin.

If payment is not received, we may suspend or terminate services until the account is current.

4. Contract Term & Termination

- Services require a minimum contract term (specified in the client agreement).

- If you cancel before the term ends, the remaining balance of the contract is immediately due in full.

- We may terminate this agreement if you fail to pay, breach these Terms, or engage in unlawful activities.

5. Intellectual Property

- Upon full payment, all deliverables (websites, ad creatives, SEO content) become the property of the Client.

- Until full payment is received, all rights remain with Brand Slam LLC.

- We reserve the right to showcase work in our portfolio and marketing materials.

6. Limitations of Liability

- We do not guarantee specific results such as search rankings, ad performance, or ROI.

- Our liability is limited to the total amount you have paid us for services.

- We are not responsible for indirect, incidental, or consequential damages.

7. Dispute Resolution

- Before legal action, both parties agree to attempt mediation or arbitration in Utah.

- Governing law and jurisdiction: Utah County, Utah courts.

8. Entire Agreement

These Terms, together with any signed proposal or agreement, constitute the entire agreement between Brand Slam LLC and the Client.
